OFFICIAL RULES

Important: Please read these Official Rules before entering this Contest (the “Contest”).
By participating in this Contest, you agree to be bound by these Official Rules and represent that you satisfy all of the eligibility requirements below.

NO PURCHASE IS NECESSARY TO ENTER OR WIN THIS CONTEST.

Contest void where prohibited by law. Subject to applicable federal, state, and local laws.

  1. Eligibility: The Contest is open only to individuals who are legal residents of the 50 United States or District of Columbia and are at least 13 years old at the time of entry. Directors, officers, members, managers, and employees of Upstream Music Fest + Summit LLC (“Sponsor”); Vulcan, Inc.; Submersible Records, Inc., YouTube, LLC; and each of their respective parent companies, affiliate companies, subsidiaries, agents, professional advisors, advertising, promotional, public relations, and fulfillment agencies, consultants, legal counsel, website providers, web masters, and immediate family members (spouses, parent, child, sibling, grandparent, and “step” child, wherever they may live) of each are not eligible to win any prize. IF YOU DO NOT MEET ANY OF THESE REQUIREMENTS, OR ANY OTHER ELIGIBILITY REQUIREMENTS IN THESE OFFICIAL RULES, YOU ARE NOT ELIGIBLE TO WIN A PRIZE. If you are under the legal age of majority in your state of residence (a "Minor"), one of your parents or legal guardians agrees that they have read, understood, and agree to these Official Rules with your entry, and that such agreement constitutes acceptance of these Official Rules on behalf of you and themselves. To be eligible to win a prize, entries must be completed and received by Sponsor in the manner and format designated below. CONTEST IS IN NO WAY SPONSORED, ENDORSED, ADMINISTERED BY, OR ASSOCIATED WITH YOUTUBE, LLC.
  2. Contest Period: The Contest starts at 12:00:01 a.m. Pacific Time (PT) on December 8, 2016 and ends at 11:59:59 p.m. PT on February 1, 2017 (the "Contest Period"). All entries must be received during the Contest Period and meet other requirements in these Official Rules to be eligible to win a prize. Sponsor’s or its designee’s computer is the official time-keeping device for the Contest.
  3. How to Enter: To enter, complete the following steps during the Contest Period:

    1. Go to https://marcatoapp.com/forms/upstream/guitar_slingers/new and submit the requested information in the Contest entry form, including the music category you are entering, as follows: (i) Acoustic, (ii) Jazz, (iii) Blues/Slide, or (iv) Metal/Rock.
    2. Submit a YouTube or other video showing your guitar skills playing an original piece for the selected category (must be an individual performance; no full bands; no cover songs); and
    3. Agree to the Official Rules.
    By completing the entry form and submitting a video as instructed above (your "Submission"), you agree that your Submission conforms to the Guidelines and Restrictions detailed below. SPONSOR MAY CHOOSE TO REMOVE ANY SUBMISSION OR DISQUALIFY YOU FROM THE CONTEST IF IT BELIEVES THAT YOUR SUBMISSION FAILS TO CONFORM WITH THESE GUIDELINES AND RESTRICTIONS.

    Limit: EACH CONTEST PARTICIPANT MAY ONLY ENTER FOUR TIMES (once per each music category). Any attempts to obtain additional entries through fraud or other illegitimate means, such as (1) through multiple or duplicate accounts, names, emails, or links; (2) impersonating other individuals; or (3) bulk or automated entries (including, e.g., entries made using any script, macro, bot, or promotional service); or (4) otherwise manipulating the number of entries you receive in an unfair or deceptive way will result in disqualification at Sponsor’s discretion. Multiple participants are not permitted to share the same email account.

    Submission Guidelines and Restrictions

    1. Your Submission must not supply untruthful, incomplete, inaccurate or misleading information.
    2. Your Submission must be your original creation and be owned 100% by you. No cover songs are permitted.
    3. Your Submission must not (in Sponsor’s discretion): (i) contain disparaging or defamatory statements; (ii) include threats to any person, place, business, or group; (iii) be obscene, offensive, or indecent; (iv) depict any risky behavior; (v) contain material that promotes bigotry, racism, hatred or harm, against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and/or (vi) contain unauthorized third-party trademarks or logos.
    4. You represent and warrant that: (i) the use of the Submission will not violate any third-party rights, such as copyrights, moral rights, trademark rights, or rights of privacy and publicity; (ii) the Submission and your participation in the Contest and Performance (defined below) does not and will not violate any applicable law, rule, regulation, or contract; (iii) to the extent the Submission depicts any individual or features the voice of any individual, you are the only individual pictured and heard in the Submission; (iv) the Submission complies with the YouTube Community Guidelines; and (v) the Submission complies with all requirements of these Official Rules.
    ALL CONTENT PROVIDED IN SUBMISSIONS WILL BE MODERATED BY SPONSOR. SPONSOR MAY REJECT SUBMISSIONS OR DISQUALIFY PARTICIPANTS AT ITS DISCRETION FOR FAILURE TO COMPLY WITH THESE GUIDELINES AND RESTRICTIONS. If submitting the video and participating in this Contest via your mobile device (which service may only be available via select devices and participating wireless carriers and is not required to enter), you may be charged for standard data use from your mobile device according to the terms in your wireless service provider’s data plan. Normal airtime and carrier charges and other charges may apply to data use and will be billed on your wireless device bill or deducted from your pre-paid balance. Wireless carrier rates vary, so you should contact your wireless carrier for information on your specific data plan.
  4. Identity of Entrant: All Submissions must be submitted by the individual entrant in the video. In the event of a dispute about the identity of the entrant, entries will be declared made by the authorized account holder of the email address associated with the account on which the Submission is made. An "authorized account holder" means the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Each potential winner may be required to provide Sponsor with proof that the potential winner is the authorized account holder of the email account associated with the winning entry.
  5. Selection and Notification of Winner: The Grand Prize and Runner-up winners will be determined according to the following process.

    All qualified and approved Submissions will be judged by Sponsor-selected judges based on the following criteria (“Judging Criteria”):

    1. ) Technical skills in the category of music selected (40%);
    2. ) Showmanship (30%); and
    3. ) Creativity of music and performance (30%).
    First Round of Judging: The four highest scoring Submissions from each of the four categories (Acoustic, Jazz, Blues/Slide, and Metal/Rock) will be selected on or about February 15, 2017 as potential finalists who are subject to verification by Sponsor. Once verified by Sponsor, potential finalists become "Finalists." In the unlikely event of a tie, the Finalists will be determined by the Submission’s score in the following criteria: “technical skills in the category of music selected.” The decision of the judges is final. YOU MUST BE AVAILABLE TO TRAVEL TO SEATTLE FOR A PERFORMANCE ON MARCH 18, 2017 TO BE SELECTED AS A FINALIST, SUBJECT TO THE TRAVEL RESTRICTIONS IN SECTION 6 BELOW. Each Finalist will receive a stipend toward airfare (if airfare is necessary in Sponsor’s discretion) for travel to Seattle, Washington on March 18, 2017 for Finalist and one guest ('Companion") as set forth in Section 6 below. Odds of being selected as a Finalist or winning a prize depend on the number and quality of eligible entries received. Limit: one Finalist selection per individual.

    Final Round of Judging: On March 18, 2017, each of the 16 Finalists will perform an original piece on stage in Seattle, Washington (your "Performance") and a panel of Sponsor-selected judges will score each Performance based on the Judging Criteria to select one winner from each of the four categories (Acoustic, Jazz, Blues/Slide, and Metal/Rock) ("Category Winners"). The highest scoring Performance of the Category Winners will be named the grand prize winner. The three other Category Winners not selected as the grand prize winner will each receive the runner-up prizes. The definition of "Submission" includes "Performance." In the unlikely event of a tie, the Category Winners will be determined by the Performance's score in the following criteria: "technical skills in the category of music selected.

    Notification of Winners: Each potential Finalist will be notified via email on or about February 15, 2017. If any prize is won by a Minor, that prize will be awarded in the name of the winner's parent/legal guardian on behalf of the winner. Category Winners and the winner of the grand prize will be notified after the Performance on March 18, 2017. To the fullest extent permitted by applicable law, Sponsor may require each potential Finalist and potential winner to sign (and have his/her parent or legal guardian sign if a Minor in his or her place residency) and return, within five days of being notified, an Affidavit of Eligibility and Liability/Publicity Release in order to claim his/her prize. If (i) the attempted notification is returned as undeliverable without a forwarding address; (ii) any required documents are not returned within five days, such as the Affidavit of Eligibility and Liability/Publicity Release or tax forms; or (iii) if potential winner or Finalist is otherwise unable to accept the prize as stated, including because of an inability to travel to Seattle, Washington on March 18, 2017 for the Performance or an inability to travel to the Crown of the Continent Guitar Workshop and Festival from August 24, 2017 through September 3, 2017, the prize will be forfeited and will be awarded to an alternate winner in the applicable category in accordance with the Judging Criteria. Only two alternate winning Finalists will be selected for each Finalist spot, after which the remaining Finalist positions will not be awarded. If, by reason of a print or other error, more Finalists or Category Winners are named than the number set forth in these Official Rules, the prize(s) or Finalist positions will be awarded to the person with the highest scoring Submission (for standard entrants) or Performance (for Finalists) in accordance with the Judging Criteria from among all eligible participants making purportedly valid claims to award the prizes available.

    Verification of Potential Winner: EACH POTENTIAL FINALIST AND WINNER IS SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE CONTEST. AN ENTRANT IS NOT A PRIZE WINNER UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE AND NO FURTHER ACTION IS NEEDED.
  6. Prize:

    Finalist Prizes: 16 Finalist prize winners will each receive (a) one $1,000 travel stipend for Finalist and one Companion to travel to Seattle, Washington for a March 18, 2017 performance (only one $1,000 stipend per Finalist; not $1,000 for Finalist plus $1,000 for his/her Companion); (b) one double-occupancy lodging for one night in/near Seattle, Washington on March 18, 2017 (approximate retail value (“ARV”): $250); and (c) the opportunity to perform music on stage in/near Seattle, Washington (ARV: $0). Total ARV of all Finalist prizes: $20,000.

    Grand Prize: One grand prize winner will receive (a) a fellowship for the Crown of the Continent Guitar Workshop and Festival 2017 (see workshop details at www.crownguitarfest.org) (ARV: $10,000); (b) a Gibson guitar (ARV: $1,500); and (c) the opportunity to show off their skills by playing at the Upstream Music Fest + Summit in May 2017 (ARV: $0). ARV of total Grand Prize package: $11,500

    Runner-Up Prizes: Three runner-up finalists will each receive an Upstream branded swag bag (ARV: $200) and a $750 cash prize. ARV of each total runner-up prize ($950).

    Total ARV of All Prizes: $34,350

    Prize Restrictions: YOU MAY ONLY BE SELECTED AS A FINALIST FOR ONE OF YOUR ENTRIES (E.G., THERE WILL BE 16 DIFFERENT INDIVIDUAL FINALISTS). Prizes are not transferable. No substitutions or exchanges of prizes (including for cash) will be permitted, except that Sponsor reserves the right to substitute a prize of comparable or greater value for any prize. Only the number of prizes set forth in these Official Rules will be awarded.

    Finalist Travel: : Each Finalist will receive from Sponsor a travel stipend for $1,000 coach class airfare for winner and Companion from an airport in proximity to the winner's home (only one $1,000 stipend per Finalist; not $1,000 for Finalist plus $1,000 for his/her Companion). Sponsor reserves the right to provide local transportation instead of the flight stipend if Finalist resides within 100 miles of Seattle, WA. Sponsor will provide winner and Companion one double-occupancy lodging for one night at a location in or near Seattle, Washington on March 18, 2017. Sponsor reserves the right to provide local transportation home instead of lodging if Finalist resides within 100 miles of Seattle, WA. The Sponsor or its designee will not replace any lost or stolen tickets, travel vouchers or certificates or similar items once they are in the winner’s possession. Any unclaimed and/or unused prize (or portion of the prize package) will remain the property of Sponsor.

    Each Finalist (and, if Finalist is a Minor, also Finalist's parent or legal guardian) will also be required to sign a liability/publicity release and may be required to submit to a verification or background check in order to be eligible to travel with Finalist to Seattle, Washington. Companions must be age 18 or older and sign a Travel/Liability Release. To be eligible to travel to Seattle, Washington for the Contest, a Minor Finalist must select as his/her Companion, and be accompanied by, his/her parent or legal guardian. Each Minor’s parent or legal guardian agrees to release and indemnify Sponsor pursuant to Sections 7 and 8 of these Official Rules, and as otherwise set forth in the liability/publicity release.

    Any amendment fees or charges incurred as a result of any changes to the purchased flights are the responsibility of the Finalist. All costs not explicitly set forth in these Official Rules are the sole responsibility of the Finalist, and Sponsor will not provide any compensation or reimbursement for these costs, including Visa requirements, valid passports, ground transportation, travel insurance, spending money, meals, taxes (excluding airline and airport taxes), vaccinations, transfers, items of a personal nature, excess baggage, in-room charges, other ancillary costs, and any applicable insurance excesses. Air travel is subject to the airlines Condition of Carriage.

    Grand Prize Travel: Sponsor or it's designee will provide roundtrip coach class airfare for the grand prize winner to Bigfork, Montana arriving on or about August 24, 2017 and returning on or about September 3, 2017 from an airport in proximity to the winner's home. Sponsor will determine which airport is closest to the winner’s home. Sponsor will provide ground transportation (1) to and from airport to winner’s home and (2) to and from destination airport to the Crown of the Continent Guitar Foundation location. The fellowship will be a 7-10 day total immersion workshop and will include lodging for the duration of the fellowship. Air transportation, hotel accommodations, ground transportation, and other elements of prize must be taken together and cannot be taken separately. Sponsor will not replace any lost or stolen tickets, travel vouchers or certificates or similar items once they are in the winner’s possession.

    If grand prize winner is a Minor, Minor must be accompanied by his or her parent or legal guardian on the grand prize trip. Sponsor will also provide roudrtrip coach class airfare for the parent or legal guardian of the Minor. Any unclaimed and/or unused prize (or portion of the prize package) will remain the property of Sponsor.     For All Prizes: ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER. Prizes are not transferable. No substitutions or exchanges of prize (including for cash) will be permitted, except that Sponsor reserves the right to substitute a prize of comparable or greater value for any prize. Sponsor will not replace any lost or stolen prizes or prize components. Only the number of prizes stated in these Official Rules are available to be won in the Contest.

    Except for applicable manufacturer's standard warranties, the prizes are awarded "AS IS" and WITHOUT WARRANTY OF ANY KIND, express or implied (including any implied warranty of merchantability or fitness for a particular purpose).
  7. Disclaimer: Sponsor; Vulcan, Inc.; Submersible Records, Inc.; YouTube, LLC; and any of their respective parent companies, subsidiaries, affiliates, directors, officers, professional advisors, consultants, contractors, legal counsel, public relations firms, employees and advertising, fulfillment and marketing agencies (collectively, the “Released Parties”) will not be responsible for: (a) any late, lost, misrouted, garbled or distorted or damaged transmissions or entries; (b) phone, electronic, hardware, software, network, Internet, or other computer or communications-related malfunctions or failures beyond Sponsor or the Released Parties’ reasonable control; (c) any Contest disruptions, injuries, losses or damages caused by events beyond the reasonable control of Sponsor or the Released Parties by non-authorized human intervention; or (d) any printing or typographical errors in any materials associated with the Contest.
  8. Limitations of Liability; Releases: By entering the Contest, you (and, if you are a Minor, your parents or legal guardians) release Sponsor and all Released Parties from any liability whatsoever, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Contest or delivery, misdelivery, acceptance, possession, use of or inability to use any prize (including claims, costs, injuries, losses and damages related to rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory. IF YOU ARE A MINOR, YOUR PARENTS OR LEGAL GUARDIANS FURTHER AGREE TO INDEMNIFY EACH OF THE RELEASED PARTIES FROM ANY CLAIMS, COSTS, INJURIES, LOSSES, OR DAMAGES DESCRIBED IN THE PRECEDING PARAGRAPH WHICH MAY BE SUFFERED BY YOU. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE SPONSOR OR THE RELEASED PARTIES BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED TO YOUR PARTICIPATION IN THE CONTEST OR USE OR INABILITY TO USE ANY EQUIPMENT PROVIDED FOR USE IN THE CONTEST OR ANY PRIZE, EVEN IF A RELEASED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE RELEASED PARTIES (JOINTLY) ARISING OUT OF OR RELATING TO YOUR PARTICIPATION IN THE CONTEST OR USE OF OR INABILITY TO USE ANY EQUIPMENT PROVIDED FOR USE IN THE CONTEST OR ANY PRIZE EXCEED $10. THE LIMITATIONS SET FORTH IN THIS SECTION WILL NOT EXCLUDE OR LIMIT LIABILITY FOR PERSONAL INJURY OR PROPERTY DAMAGE CAUSED BY PRODUCTS RENTED FROM THE SPONSOR, OR FOR THE RELEASED PARTIES’ GROSS NEGLIGENCE, INTENTIONAL MISCONDUCT, OR FOR FRAUD.
  9. Use of Name, Likeness, etc.: To the fullest extent permitted by applicable law, agreeing to participate in the Contest constitutes permission to use your name, biographical information, hometown, aural and visual likeness (including photos, videos and other images of you), remarks or statements, and prize information for all advertising, marketing, and promotional purposes in all media, throughout the world, in perpetuity, without further permission or compensation (including, e.g., using your name and city and state of residence in a public-facing winner list). You agree that it is your sole responsibility to obtain all permissions and releases necessary for the grant of the rights contained in this paragraph. You agree to take, at Sponsor's expense, any further action (including execution of affidavits, tax forms, and other documents) reasonably requested by Sponsor to effect, perfect or confirm Sponsor's rights as set forth above in this paragraph. By entering this Contest, you consent to being contacted by Sponsor for any purpose in connection with this Contest.
  10. License and Grant of Rights: By agreeing to participate in the Contest and providing your Submission in connection with the Contest, you hereby grant to Sponsor a perpetual, irrevocable, royalty-free, worldwide, nonexclusive, transferable, sublicensable license to record, manufacture, publish, reproduce, display, perform, broadcast, exhibit, distribute, sell, transfer, adapt, edit, modify, translate, create derivative works based upon (including the right to incorporate the Submissions and Performance, in whole or in part, into other works) and otherwise use and sublicense your Submission(s) and Performance or any portion thereof (including your name and likeness as shown and conveyed in the Submission and Performance), in connection with the Contest and for other advertising, marketing, and promotional purposes, in any manner, form, media or technology now known or later developed. For the sake of clarity, such license includes the right for Sponsor to create, publish, reproduce, display, perform, broadcast, exhibit, distribute, sell, transfer, adapt, edit, modify, translate, creative derivative works based upon and otherwise use and sublicense recordings of your Submission(s) and Performance (“Recording”) commercially and non-commercially in connection with the Contest and for other advertising, marketing, and promotional purposes, in any manner, form, media or technology now known or later developed. You further hereby waive any moral rights you may have in the Submission(s), Performance, and Recordings in favor of the Sponsor. Sponsor will have no obligation to publish or use or retain any Submission you submit or to return any such Submission to you. You agree that it is your sole responsibility to obtain all permissions and releases necessary for the grant of the rights contained in this paragraph. You agree to take, at Sponsor's expense, any further action (including execution of affidavits, tax forms, and other documents) reasonably requested by Sponsor to effect, perfect or confirm Sponsor's rights as set forth above in this paragraph. You will not be entitled to any further compensation for any use by Sponsor, or its agents, licensees or assignees, of any Recording or your Submission(s) or Performance.

  12. Winner List; Rules Request: For a copy of the winner list, send a stamped, self-addressed, business-size envelope for arrival after March 19, 2017 and before March 19, 2018 to the address set forth in Section 15 below. Disputes: EACH ENTRANT AGREES THAT ANY DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS CONTEST OR ANY PRIZE AWARDED WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, AND EXCLUSIVELY BY THE UNITED STATES DISTRICT COURT FOR THE WESTERN DISTRICT OF WASHINGTON OR THE APPROPRIATE STATE COURT LOCATED IN KING COUNTY WASHINGTON. THESE OFFICIAL RULES ARE GOVERNED BY THE LAWS OF THE STATE OF WASHINGTON WITHOUT REGARD TO CHOICE OF LAW OR CONFLICT OF LAWS RULES. YOU WAIVE ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMIT TO THE JURISDICTION OF THOSE COURTS.
  15. General Conditions: Entrants agree to be bound by these Official Rules and by the decisions of Sponsor, which are final and binding in all respects. Sponsor reserves the right to change these Official Rules at any time, in its discretion, and to suspend or cancel the Contest or any entrant's participation in the Contest should viruses, bugs, unauthorized human intervention or other causes beyond Sponsor's reasonable control affect the administration, security or proper play of the Contest, or Sponsor otherwise becomes (in its discretion) incapable of running the Contest as planned. Entrants who violate these Official Rules, violate any law, rule or regulation in connection with participation in the Contest, tamper with the operation of the Contest or engage in any conduct that is detrimental or unfair to Sponsor, the Contest, or any other entrant (as determined in Sponsor's discretion) are subject to disqualification from the Contest. Any attempt by an entrant or other individual to deliberately damage any website associated with this Contest or undermine the legitimate operation of the Contest may be in violation of criminal and civil law and Sponsor reserves the right to prosecute and seek damages from any such person to the fullest extent permitted by applicable law. Sponsor reserves the right to lock out persons whose eligibility is in question or who have been disqualified or are otherwise ineligible to enter the Contest. Sponsor reserves the right to disqualify any entries received that contain inappropriate or offensive content. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Any provision of these Official Rules deemed unenforceable will be enforced to the extent permissible, and the remainder of these Official Rules will remain in effect. The use of the term “including” in these Official Rules is illustrative and not limiting.
